Roberto Luz Portella


Experience Summary

Graduated in Law from Universidade Estadual do Rio de Janeiro (UERJ) School of Law in 1967, Roberto has specializations in Business and Tax Law at Centro de Estudos e Pesquisas no Ensino do Direito (CEPED) of Fundação Getúlio Vargas do Rio de Janeiro (FGV-RJ), in 1968, during the time he was a legal intern at the law firm Gilberto Ulhôa Canto, in Rio de Janeiro. After having followed postgraduate courses in the Unites States, he returned to Brazil and worked at the law firm Pinheiro Neto in São Paulo, where he conducted his practice at the Corporate and Mergers and Acquisitions areas. There, he advised Pfizer on significant transactions (sale of company Coty) and Refinações de Milho Brasil on its expansion plan, among others. Invited by his former professors at CEPED, he returned to Rio de Janeiro to work for the Brascan/Light Group and to start a career as a Law professor at Pontifícia Universidade Católica do Rio de Janeiro (PUC-RJ). At Banco Brascan de Investimentos, he worked on the development of credit products and on project financing as well as on the Bank's participation in the issuance of stock and other Capital Market business operations. In the area of Mergers and Acquisitions, he participated in the following transactions: Purchase of Indústria de Tomate Peixe, Dulcora, Metalúrgica Matarazzo, Brinks, Sardinhas Coqueiro; creation of several ore survey and exploitation companies; purchase of the Swift meat packing plant; joint venture with Intercontinental Hotel for the construction of the São Conrado Hotel in Rio de Janeiro; purchase together with ADELA of the areas of Trindade and Laranjeiras on the São Paulo coast; and participation in Aracruz' and Aracruz Florestal's capital, and subsequent merger of Aracruz Celulose S.A. Defended the interests of Banco Brascan as business counsel for the Bank's investments. Invited to participate in the structuring of Aracruz Celulose's start-up, acted as associate general counsel in charge of the development, financing and construction of the project, and worked for the company for 15 years, where he also assumed the positions of Finance and Market Relations Director and Officer in charge of several subsidiaries. At the end of his term of office, he was invited to take charge of the strategic planning of the Lorentzen Group where he held the positions of Legal Director and, following, Finance Director. He reorganized the Group, and his major assignment was to organize Aracruz' control group for the purchase of BNDES' dominant position. After he left the Lorentzen Group, he was invited to join Citibank, where, initially, he coordinated the development of the Bank's strategic plan; he was appointed Vice President and, following, General Counsel, reporting directly to the Bank's President. He participated in Citibank's top management and conducted several transactions, such as the negotiation of the debt of government companies (such as Siderbras), the formation of Banco Múltiplo, the joint venture with Banco Crefisul, investments in the insurance and credit cards areas, organization of Citibank's Private Bank and recovery of credits from insolvent debtors. At that time, he acted as chairman of the Legal Committee of Associação Brasileira de Bancos Internacionais (Brazilian Association of International Banks) and of the Legal Committee of Amcham in São Paulo. When he left Citibank, he joined Demarest Advogados with the mission of organizing the Finance and Capital Market area of the firm. With the creation of the Business Law area, he supervised several large transactions, namely issuances of debt and capital, purchase of companies, including publicly-held corporations, several mergers and acquisition and structured finance transactions. He participated in the firm's Boards during several terms of office as a member of the Board of Directors and Executive Board. He participated in the formation of the Insurance department of the firm, and conducted important works with Petrobras during the period he was in charge of the management of the firm's branch in Rio de Janeiro.
