Graduated from Pontifícia Universidade Católica de São Paulo Law School in 2006. At Demarest, Cleber Cilli concentrates his practice on Banking and Finance, Corporate Restructuring and Capital Markets. Among his regular clients he advises, among others, several financial institutions which are part of Santander, Itaú, HSBC, Rabobank, BTG Pactual, Bradesco, BNY Mellon, Wells Fargo, Fator, Banco Caixa Geral - Brasil S.A., China Construction Bank and Banco do Brasil. He also regularly advises important companies such as BMW, Honda, Jaguar Land Rover, Natixis, Auto Ricci, Tractebel, Miller, C&A and Roche.


  • 2017: Advised a certain international group of the aluminum industry, including the relevant Brazilian subsidiary, in a global refinancing of the group's debt and a loan extension to certain companies of the group, in the total amount of USD 230 million.
  • 2017: Advised Banco do Brasil S.A., Banco Santander (Brasil) S.A., Itaú Unibanco S.A. and Banco Caixa Geral - Brasil S.A. in the debt restructuring of Companhia de Alimentos do Nordeste - Cialne, in the total amount of R$80 million.
  • 2016: Advised JPMorgan Chase Bank, N.A, Banco do Brasil S.A and Banco Bradesco S.A, in connection with a syndicated loan granted to certain companies of the General Motors Company group, including General Motors do Brasil Ltda., in the total amount of USD14,5 billion.
  • 2016: Acted as deal counsel in the restructuring of the debt of Armco do Brasil S.A. with lenders and bondholders Banco do Brasil S.A., Banco Santander (Brasil) S.A. and Itaú Unibanco S.A., in the amount of approximately BRL 300 million, including the extension of a new credit line and divestment of its former industrial facilities.
  • 2016: Advised Global Geophysical Services Ltda., the Brazilian subsidiary of Global Geophysical Services LLC in a debt restructuring formalized through the development / negotiation of a Forbearance Agreement, a Joinder Agreement and Brazilian security instruments to create security in addition to certain pre-existing financing transactions formalized between Global Geophysical Services LLC, Global Geophysical Services Inc., Morgan Stanley Senior Funding, Inc, Napier Park Select Master Fund, D-Star Ltd. and Wilmington Savings Fund Society Fsb. The amount involved was USD 85 million.
  • 2016: Advised Banco Santander (Brasil) S.A. and Banco do Brasil S.A in a local syndicated loan granted to Auto Ricci S.A., in the total amount of R$70 million.
  • 2016: Acted as deal counsel in a syndicated loan in the total amount of BRL 20 million granted to Avista S.A. Administradora de Cartões de Crédito by a local bank syndicated comprised by Banco Santander (Brasil) S.A.  and Banco Caixa Geral - Brasil S.A. The transaction was formalized through the issuance of Bank Credit Notes ("CCBs") collateralized by the fiduciary assignment of credit rights towards card holders.
  • 2015: Advised Banco Santander (Brasil) S.A. and Itaú Unibanco S.A. in a local syndicated loan granted to Empreza Gestão de Pessoas e Serviços Ltda., in the total amount of R$42 million.
  • 2014: Advised Companhia Paulista de Securitização (CPSEC), the financial services arm of the state of São Paulo, on the USD2,3 billion issuance of debentures - the largest issuance to take place in Brazil in 2014.
  • 2014: Advised the underwriters BTG Pactual S.A. (Cayman Branch), Banco Bradesco BBI S.A., BB Securities Ltda., Citigroup Global Markets Inc., Merrill Lynch, Pierce, Fenner & Smith Incorporated and Santander Investments Securities Inc. in the offering and sale of US$1,3 billion principal amount of 8.750% Perpetual Non-Cumulative Junior Subordinated Notes issued by Banco BTG Pactual S.A.
  • 2013/2012: As in-house legal counsel at Patria Investimentos, advised the structuring and maintenance of more than 30 investment funds, including hedge funds and private equity funds and provided legal assistance to the capital management team.
  • 2011: Advised the Inter-American Development Bank on the USD778 million financing of Embraport - Empresa Brasileira de Terminais Portuários S.A., recognized as the Transport Deal of the Americas by the Project Finance Deal of the Year from Latin Lawyer and International Financial Law Review (IFLR).
  • 2011: Advised Elecnor, Lintran and Isolux on the sale of their shares on certain Brazilian electricity distributors to State Grid International Development, recognized by the publication China Law & Practice as the China Outbound Deal of the Year.
