Paloma Valéria Martins Lima


Experience Summary

Paloma earned her LL.B. from USP and her LL.M. in Corporate Governance and Practice from Stanford University. She is experienced in regulatory and contractual advisory to large-scale infrastructure projects in several sectors including energy, oil and gas, shipyards and transports (subway, railways, highways, ports and airports).

Paloma has extensive experience with financial institutions, multilateral organizations, investors and large companies working mainly in project finance and structured operations. She is also a member of the International Bar Association (IBA).


  • SERV (Swiss Export Risk Insurance), IFC and IDB Invest in the USD 3.1 billion financing of a combined cycle thermal power plant with installed capacity of 1.5 GW in the state of Sergipe, with combined project finance and capital markets structure through issuance of Debentures in Brazil;
  • EIG Group in a BRL 1.3 billion equity investment in Port of Açu complex in Rio de Janeiro;
  • CCR and consortium of VLT Rio in connection with the financing and implementation of the tramway in city of Rio de Janeiro;
  • CPFL – Energia in the USD 1.5 billion acquisition finance of AES-Sul energy company in Brazil;
  • CEMIG in the bidding process for privatization of EDP Portugal;
  • Large companies on workout deals in the energy sector involving judicial recovering proceeding and applicable insolvency rules, in particular the landmark case of group Rede Energia, and in in all phases for acquisition of Grupo Rede;
  • Syndicated transactions and co-financing with other multilaterals in regional markets, including Brazil, Nicaragua, Ecuador and Jamaica; reviewed standby agreement with IMF in the context of Jamaica toll road transaction;
  • Internal clients on project and corporate structures as well as development, construction and other contract issues, term sheet, intercreditor matters and conducting internal approvals;
  • Legal structuring and negotiation process of some of the most important deals of the Inter-American Bank's Structured and Corporate Finance Department (SCF);
  • Interpretation and application of Bank policies and procedures in the context of transactions and the development of new programs and financial products, all in respect of the Bank's Non-Sovereign Guaranteed (NSG) activities.
  • Track-record of involvement in notable project finance transactions that have achieved "Deal of the Year" honors or "Best Deal" awards, including the following: São Paulo Beltway Rodoanel Oeste, Via 4 Sao Paulo Metro Line IV and Tecon Santa Catarina Itapoá Port.
