Guilherme Vieira da Silva

Partner of Demarest’s Mergers and Acquisitions and Life Sciences areas, Guilherme Vieira da Silva holds a Master’s Degree in Law from the Northwestern Pritzker School of Law (Chicago, USA). He is specialized in Civil and Constitutional Law from UERJ and holds a Bachelor of Laws degree from PUC-RJ. Guilherme operates in the areas of corporate governance and capital markets in the energy, insurance, mining and financial segments. He focuses his practice in transactions involving regulated industries such as energy, insurance, mining and healthcare services to deliver clients a combination of industry knowledge, in-depth regulatory understanding and strategic planning to assist clients navigate the Brazilian business environment. Guilherme has experience in transactions having worked for offices in Rio de Janeiro and New York.  In addition, he has been recognized in numerous legal publications and has been involved in transactions indicated for international awards.

Experience

Represented DaVita Health Care in the acquisition of more than 20 health clinics in Brazil

Represented TIAA-CREF Teachers Insurance and Annuity Association of America, a Fortune 100-listed financial institution with more than US$ 880 billion in assets, in the acquisition of majority control of Cosan S/A of Brazilian real estate investment companies Radar Propriedades Agrícolas S/A and Radar II Indústrias Agrícolas S/A, with a portfolio exceeding R$ 2 billion

Represented Vale S/A in the divestiture of US$ 5 billion in its aluminum business with Norwegian Norsk Hydro, along with the issuance of newly issued shares on the Oslo stock exchange

Represented Telefónica in the divestment of its Atento call center present in Latin America, Europe and North Africa, in a transaction of more than EUR 1 billion

Represented Mitsui & Co. Ltd. in the acquisition and consolidation of the shareholding control of the Brazilian grain’s producer and exporter Multigrain S/A
