Luciana Monteiro C Tornovsky

Partner of Demarest’s Mergers and Acquisitions and Corporate areas. Master’s Degree by Harvard Law School and International Tax Program from Harvard University. She worked at Gibson, Dunn & Crutcher office in New York. She is the author of relevant book chapters, such as “International Trade Law” (Aduaneiras, 2004), “Securities World 2005 – Jurisdictional Comparison” (European Lawyer, 2005) and Business Laws of Brazil (West, 2009-2010) and published articles related to corporate practice. Luciana Cossermelli Tornovsky is also head of Demarest’s Corporate Social Responsibility area, which encompasses the Social Responsibility, Diversity & Inclusion and Pro Bono groups.

Experience

Advised Bayer on the sale of the seed business to BASF for EUR 5.9 billion.

Advised Chemical Union on the acquisition of the biotechnology plant dedicated to the production of Lactotropin and Posilac in the State of Georgia in the United States of America from Elanco (animal health division of Eli Lilly).

Advised Bayer on the sale of the herbicide business, seed treatment and other related business to BASF for EUR 1.7 billion.

Advised Leprino Foods Company on the acquisition of the additional 21% stake in Lactojara Indústria e Comércio de Laticínios S.A. by through its Brazilian subsidiary, acquiring control of the company.

Advised DST Managers V Limited and Thrive Capital Partners V, LP, as investors, on the issuance of Series E preferred shares of Nu Holdings Ltd., parent company of Nu Pagamentos S.A. (Nubank).
