Partner of Demarest’s M&A, Private Equity and Venture Capital and Corporate Governance areas, Paulo Frank Coelho da Rocha holds a master’s degree (LL.M.) in Corporation Law from New York University, after which he worked for two years as foreign associate at Cravath, Swaine & Moore. He is the author of several articles in the field and co-author of the books “Business Laws of Brazil”, West Thompson, (2015), and “Brazil M&A”, Donnelley Financial Solutions (2018). Advised CRH Plc. on the sale of its cement business in Brazil to BCPAR, a joint venture between the Brazilian group Brennand and the Italian Buzzi Unicem S.p.A., for USD 218 million, subject to adjustments. The transaction is subject to CADE’s approval.
Advised SoftBank on its investments in Brazil, including: (i) a capital injection of USD 231 million in the series D investment round in Creditas Financial Solutions, an online secured credit platform, through the acquisition of shares, and (ii) the investment in startup Buser, a Brazilian intercity bus charter.
Advised Mohawk Industries, Inc., one of the largest multinationals in the ceramic sector, through its Brazilian subsidiary Mud (Holding) Brasil Ltda., In the acquisition of all the shares issued by Eliane S/A Revestimentos Cerâmico from MG5 Administração e Participações SA, Kinea Private Equity II Multi-Strategy Investment Fund and Kinea Private Equity III Multi-Strategy Investment Fund.
