Partner in Demarest’s M&A, Corporate, Private Equity and Venture Capital practice areas, Luciana holds an LL.M. from Harvard Law School and a postgraduate degree from Harvard University’s International Tax Program (ITP). She previously worked at Gibson, Dunn & Crutcher LLP in New York, USA. Luciana has extensive experience in domestic and cross-border M&A transactions, advising Brazilian and international clients across a wide range of industries, including chemical, pharmaceutical, healthcare, automotive, and technology. She has assisted in highly complex transactions involving acquisitions, mergers, spin-offs, joint ventures, and corporate reorganizations. At Demarest, Luciana is currently a member of Demarest’s Executive Committee and has led the Corporate Social Responsibility (CSR) area, which encompasses the Social Responsibility, Diversity & Inclusion, and Pro Bono groups. She also serves as an officer of the International Bar Association (IBA), senior vice chair of the Closely-Held Companies Committee, member of the Executive Committee of the Harvard Law School Association, co-chair of the Harvard Law School Women’s Alliance (Brazil Chapter), and member of the Executive Board of the Center for Studies of Law Firms (Centro de Estudos das Sociedades de Advogados – CESA). She has been recognized by leading domestic and international legal publications in the M&A market, including Chambers Global, Chambers Latin America, The Legal 500, Análise Advocacia 500, LACCA, Leaders League, IFLR, among others.
- Advised Paysafe in the acquisition of SafetyPay for USD 441 million.
- Advised Bayer in the sale of Schering do Brasil (producer of hormonal balance products for women) for BRL 350 million.
- Advised CyrusOne in the sale of Odata to Aligned Data Centers. Odata’s estimated market value was USD 1.8 billion at the time of the transaction. This transaction was awarded “M&A Deal of the Year” by Latin Lawyer in 2024.
- Advised Softbank and Riverwood Capital in a funding round for Gupy, Brazilian human resources startup founded in 2015, for BRL 500 million.
- Advised Ashland International Holdings LLC in the sale of its composites business in Brazil to Ineos Enterprises Group Ltd., as part of a global operation. The companies included in the operation have combined sales of more than USD 1.1 billion per year.
