Partner in Demarest’s Banking and Finance practice area, Fabio Braga holds a postgraduate degree in International Economic Negotiations from UNESP and has studied Latin-American Law at the School of Law of the University of Miami and attended The Academy of American and International Law - Southwestern Institute for International and Comparative Law, Dallas (USA). He concentrates his practice in financial operations, including project financing and debt restructuring across numerous segments of the Brazilian and international financial markets, particularly regarding the financial demands of the automotive production chain. Fabio has extensive experience developing specialized financing structures between major companies of the distribution and consumption sector, in addition to obtaining authorizations for the operation of financial institutions, including new digital organizations, such as direct credit and loan corporations among individuals on digital platforms, whether they originate or are backed by domestic or foreign capital.

  • Assisted StartMeUp (SMU) in the project to establish a platform for secondary trading of securities issued by startups under the CVM regulatory sandbox, which created a digital environment for the development of a secondary crowdfunding market. The securities’ bookkeeping will be carried using the distributed Ledger Technology (DLT) and tokenized by nTokens in blockchain. SMU’s secondary trading platform will support the expansion of the crowdfunding market in Brazil.
  • Fabio advised Syngenta Proteção de Cultivos and Syngenta Seeds (Syngenta) on the structuring (i) and constitution of “Syngenta Tech I Fundo de Investimento em Direitos Creditórios,” a credit rights investment fund structured under CVM Instruction 356; (ii) of the restricted public offering for distribution, under CVM Instruction 476, of 600 million senior class shares of the Fund and (iii) the private placement, concerning (a) 184 million mezzanine subordinated class shares of the Fund, which are subordinated to the Senior Shares; and (b) 16 million junior subordinated class shares of the Fund, which are subordinated to the Senior Shares and to the Mezzanine Subordinated Shares, which comprises a funding of BRL 800 million. The Fund administrator is Banco Daycoval, and Banco Santander (Brazil) was the lead coordinator of the offering.
  • In Brazil, Mr. Braga has advised the Procaps Group, a major international pharmaceutical and healthcare company, on the private offering of Senior Notes, in the amount of USD 115 million, guaranteed by its Brazilian subsidiary along with other subsidiaries of the group.
  • Advised SOLAR.BR Participações S.A., an affiliate of the Coca-Cola Company system, which is responsible for one of the largest production lines of Coca-Cola branded products in Brazil, on the structuring of a digital financial services platform, as a joint venture, through a company that will operate the first platform designed to offer digital accounts and payment and acquisition services to commercial establishments and consumers in general, contemplating more than 300,000 sale outlets in the North, Midwest and Northeast regions of Brazil.
  • Assisted in the process of legal structuring and implementation and development of the dealership network of the electric vehicle manufacturer BYD, in Brazil.
