Partner in Demarest's Listed Companies, Capital Markets, Mergers & Acquisitions and Corporate practice areas, Paula Magalhães holds a bachelor's degree in Law from PUC-SP and is widely experienced in matters involving listed companies in Brazil, from strategic/extraordinary matters, such as corporate restructuring, M&As involving share exchanges, OPAs (takeover bids), to the periodic obligations of such companies, given her vast knowledge of regulatory aspects involving CVM and B3 regulations. Paula concentrates her practice in matters involving general meetings and remote voting, takeover bids, reference forms, governance forms (CBGC Reports), material facts, executive remuneration, relationships and communication with the company's shareholders, requirements under B3's special listing segments and best practices in corporate governance, as well as responses to notices from the CVM and B3 and defenses in sanctioning administrative proceedings before the CVM. She also advises on matters involving Brazilian Depositary Receipts (BDRs) and public offerings of shares (IPO and Follow On). Paula also has extensive knowledge of M&As in the college education sector, particularly involving medical schools.

  • Advised Itaúsa on Itaú's divestment of approximately 40% in XP (approximately BRL 29 billion).
  • Advised Afya, Brazil's largest medical education group, on 7 acquisitions, including the acquisition of the Del Rey Group (BRL 825 million) and Unigranrio (BRL 700 million).
  • Advised Crescera on the BRL 300 million investment in Vitru, the largest private institution for distance learning in Brazil.
