Partner of Demarest’s Mergers and Acquisitions and Oil and Gas areas, João Luis Ribeiro de Almeida holds a Master’s Degree in Corporate Law from New York University, a post-graduate degree in Oil Law and Business from IBP in partnership with UERJ and in Tax Law from FGV. He also holds a degree in International Oil & Gas Law, Contracts and Negotiations from the Rocky Mountain Mineral Law Foundation (USA). He has a strong presence in the transactional area, representing large companies, especially in the energy sector. João also has international experience as a foreign associate at Sidley Austin’s New York office and approved by the New York State Bar.

  • Advised Duna Energia (independent oil company) in the reserve-based lending with Banco BTG Pactual and the acquisition of the rights and infrastructure of the Ponta do Mel and Redonda Fields from Petrobras.
  • Advised the oil company Petrom (a company form the energy group Ecom): (i) in the acquisition of the rights and infrastructure representing 50% of Rabo Branco Field form Petrogal (joint venture of Galp and Sinopec) and (ii) in the acquisition of the rights and infrastructure representing 50% of Rabo Branco Field form Petrobras.
  • Advised QPI Brasil (affiliate of Qatar Petroleum) in (i) a consortium with ExxonMobil in the 5th Pre-Salt Bid Round in which they purchased the “Titan” block located in the Santos Basin, in the total amount of BRL 3.1 billion; and (ii) a consortium with Shell and CNOOC in the 3rd Pre-Salt Bid Round, in which they purchased the block “Alto de Cabo Frio Oeste” located in the Santos Basin, in the total amount of BRL 350 million; and (iii) consortia with ExxonMobil and Petrobras, in the acquisition of 4 blocks located in the Campos and Santos Basins in the 15th National Petroleum Agency auction for Concession Contracts, in the total amount of BRL 3.4 billion.
  • Advised Ecogen (an affiliate of Mitsui) in the acquisition of Light Esco, a subsidiary of Light S.A.
  • Advised the seismic company Petroleum Geo-Services – PGS: (i) in the club deal finance of USD 350 million and in the exchange offer in the amount of USD 450 million and (ii) in the debt and securities international restructuring in the total amount of USD 696 million (the transaction was coordinated by Barclays Bank PLC and DNB Bank ASA).
