Partner in Demarest’s Capital Markets and Mergers and Acquisitions practice areas, Thiago Giantomassi holds a bachelor’s degree in law and a master’s degree in Economic Law from USP. He specializes in capital solutions across equity, debt, funds and hybrid instruments, and in business combinations and corporate reorganizations involving listed companies. His main clients include investment banks, asset management firms, listed companies, controlling shareholders, investors, market intermediaries and advisors in domestic and cross-border transactions across multiple sectors. He has also contributed to developing new regulations and innovative structures, liaising with securities regulators, organized markets and financial markets associations. Thiago has been recognized as a reference in Tax Law by leading local and international publications, such as Chambers and Partners, IFLR 100, and The Legal 500.
- Advised Banco Inter in its follow-on, anchored by Stone, as well as the first corporate restructuring and business combinations leading to the migration of Banco Inter’s shareholder base from B3 to NASDAQ.
- Advised Jive Investments in connection with its flagship funds focused on capital solutions, distressed assets and special situation investments; and advised JGP, XP, their respective funds and specific creditors of Agrogalaxy, a listed subsidiary of private equity firm Aqua Capital, within the context of the largest agribusiness-related Chapter 11 in Brazil. The work included structuring a receivables investment fund comprising senior, mezzanine and junior quotas backed by non-performing credits held by Agrogalaxy and by upside-linked credits tied to performance above defined hurdle rates, as well as advising on the corresponding fundraising proceedings. He also advised Jive on the business combination between 3R Petroleum and Enauta that resulted in the formation of Brava Energia.
- Advised on the spinoff of MRV’s equity stake in LOG, its logistics warehouse subsidiary, as well as in the registration of a new listed company with the securities regulator and in the listing of its shares on B3’s Novo Mercado segment.
- Advised in the creation, within a sandbox environment, of an organized over-the-counter market authorized by the CVM, and in related strategic matters, focusing on tokenized equity and debt securities issued under crowdfunding offerings by start-ups.
- Advised Banco Fator on the structuring and public offerings of quotas issued by Fator Verità Multiestratégia Fundo de Investimento Imobiliário, totaling BRL 477 million. The offerings form part of a complex business combination involving multiple funds managed by Fator and/or its affiliates – also advised and structured by Demarest – with the goal of consolidating several real estate assets into a single, combined vehicle.
- Advised BTG Pactual and BRB in the structuring and public offering of the first securitization backed by tax credit rights held by Brazil’s Federal District.
